ARTICLE I – PURPOSE
Section 1.
The name of this organization shall be the Language and Social Interaction Division of the National Communication Association.
Section 2.
The authority of this organizational shall be derived from Article VII of the Constitution and Article VI of the Bylaws of the National Communication Association, and its powers and procedures are those prescribed therein.
Section 3.
The basic purpose of the Division is to promote the understanding and development of speech and language processes. Pursuant to that goal, the Division will exercise a major role in the program planning of the annual NCA convention; conduct divisional activities as determined by the membership of the Division; and represent the interests of the Division membership in the Legislative Council of NCA.

ARTICLE II -MEMBERSHIP
Section 1.
Membership in this Division is open to any member of the Association who is interested in promoting the Division’s purposes.
Section 2.
The full membership of the Division shall be those individuals who are members in good standing of the Association and who indicate their wish to be affiliated with the Division on their NCA membership application or renewal, and/or so advise the Executive Secretary of the National Communication Association.

ARTICLE III – MEETINGS
An annual business meeting shall be held at the time and place of the annual convention of the Association. Additional meetings may be scheduled by the Executive Committee.

ARTICLE IV – OFFICERS
Section 1.
The officers of the Division shall be a chairperson, vice-chairperson, vice-chairperson-elect, and information coordinator.
Section 2.
The chairperson shall serve for one year, preside at business meetings of the Division, be responsible for membership records, prepare annual reports and budget requests in such form and manner as the Legislative Council prescribes, and serve as a representative of the Division on the Legislative Council of the Association for two years—one as chairperson, and one as immediate past chairperson.
Section 3.
The vice-chairperson will serve a one year term, then succeed to the office of chairperson. This officer shall, in cooperation with the officers and appropriate committees, plan the Division programs for the annual NCA convention, and present such competitive awards as may be authorized by the Division.
Section 4.
The vice-chairperson-elect shall serve one year, then succeed to the office of vice-chairperson. This officer shall assist the vice-chairperson with coordinating the review of papers and other program submissions, shall coordinate any membership drive, and shall also assist with other activities assigned by the Executive Committee.
Section 5.
The information coordinator will serve a two-year term, prepare minutes of the business meetings, be responsible for the Division Newsletter, consult with the Publications Board of the NCA, write a Spectra column, and coordinate and direct the publications of the Division.
Section 6.
In the event an officer is unable to fulfill her/his responsibilities for whatever reason, the remaining members of the Executive Committee shall appoint a replacement until such time as a replacement can be duly elected.

ARTICLE V – ELECTIONS
Section 1.
There shall be a Nominating and Elections Committee of the Division chaired by the immediate past chairperson of the Division. Members of the committee shall be the immediate past chairperson, the chairperosn, and the vice-chairperson.
Section 2.
The Nominating and Elections Committee will prepare a slate of the two persons for each vacancy to be filled. Following the presentation of the committee’s report at the annual business meeting of the Division, additional nominations will be accepted form the floor.
Section 3.
Balloting will be conducted at the Divisional meeting with ballots counted by the Nominating and Elections Committee, and results will be announced at that time.
Section 4.
A majority vote of those members attending the Divisional meeting at the NCA Annual Convention shall be sufficient to elect officers for vacant positions.

ARTICLE VI – COMMITTEES
Section 1.
The Executive Committee of the Division shall consist of the chairperson, the vice-chairperson, and the information coordinator. It shall, between annual meetings of the Division, serve as the chief administrative authority of the Division.
Section 2.
A Review Committee consisting of a minimum of four persons will be solicited at the annual Division meeting to review papers and program submissions, and to assist the vice-chairperson with planning Division programs.
Section 3.
Special committees may be formed by the chairperson, with the concurrence of the Executive Committee, or by the majority vote of the Division. Special committees shall be given specific duties, and a specific date for the final report.

ARTICLE VII – PARLIMENTARY AUTHORITY
All meetings of the Division, its committees or other subsidiary bodies, shall be governed by the parlimentary rules and usages contained in the current edition of Robert’s Rules of Order, Newly Revised.

ARTICLE VIII – AMENDMENTS
Section 1.
Amendments to these Bylaws may be initiated by a majority of the Executive Committee, by a majority of the Division membership at the annual Division meeting, or by a petition addressed to the chairperson and signed by twenty-five members of the Division.
Section 2.
Proposed amendments shall be submitted to a mail ballot of the entire Division membership. Thirty days shall be allowed for a return of the ballots in such an election. Amendments shall be adopted by a majority vote.
Section 3.
These Bylaws shall become effective after ratification by a majority vote of the Division at the annual Division meeting, and a majority vote of the Division in a mail ballot.
